It is not by the number of ties that appointed directors to the board may have that influences corporate governance. It is appointing those whose ties are within a strategic social network.

Strategic satisficing? A behavioral-agency theory perspective on stock repurchase program announcements

Article Abstract:

This research article presents findings from 250 U.S. companies that engaged in stock buyback programs in order to mollify shareholders. The paper also presents a model used to analyze the research data.

Article Abstract:

The factors influencing success of corporate directors at an individual level in getting additional board appointments are evaluated in the study. The social influence that is gained by holding multiple positions in large U.S. firms is rewarded more than the knowledge of the firm's success areas and control behavior.
