Thomson Directories - a buyout out of the blue

Article Abstract:

The management buyout of Thomson Directories was led by BZW Acquisition finance and completed in Jun 1997. The sum of 80 million pounds sterling, paid for Thomson Directories, was underwritten by a number of companies. 3i London invested 34.5 million pounds sterling in equity capital, the Intermediate Capital Group invested a 10 million pounds sterling mezzanine strip. The senior debt, of 45 million pounds sterling, was shared between BZW and three banks. US West International sold Thomson through an auction to the management team, who were fully supported by BZW and their client 3i.

A cheap way to finance a buyout

Article Abstract:

The creative use of profit-related pay (PRP) can allow employees to boost their take-home pay enough to finance the purchase of shares in the company. PRP was initially not seen as very attractive, but is now becoming more widely used, and certainly has a role to play in employee buyouts. It is particularly important in allowing employees to finance loans to buy shares in the company.

Cannons Group in [pound]480m buyout

Article Abstract:

Royal Bank Private Equity acquired the health and fitness chain Cannons Group in a buyout for 480 million pounds sterling in June 2001. The health club sector looks set to see a series of deals as the market becomes more competitive.
