GEC's new managing director, George Simpson, has been granted a generous pay package. This involves a basic 600,000 pounds sterling salary, a bonus that could be worth some 300,000 pounds sterling annually and large contributions to Simpson's pension. There is a long-term incentive scheme that will allow Simpson to be paid to a maximum of 1 million pounds sterling if the company's share price goes up by 41% in the 7 years from 1996. Simpson also has a notice period of three years. Institutional investors are not likely to protest about this pay package.

Minorities fight back

Article Abstract:

Minority stockholders of Astec are taking legal action against Emerson, which holds 51% of Astec. The minority stockholders are using Section 459 of the 1985 Companies Act, and argue that the affairs of Astec are at risk of being conducted in an unfairly prejudicial way, affecting some or part of the company's members. Emerson aims to remove three directors from Astec and reduce the company's dividend. Emerson argues that a dividend cut is necessary to allow Astec to invest after the Asian financial crisis.
