It is possible under UK law for the benefits of a contract to be assigned to a third party. However, rights under a contract cannot be assigned. In the construction industry, there are four main types of assignment. Contractors and subcontractors may assign their rights to payment as part of the security demanded by bankers, parties to a settlement may assign rights against a potential defendant, developers may assign their contracts with professionals to investors or tenants and employers may under design-and-build contracts assign contracts with designers to the contractor.

Illegal contracts
Article Abstract:
The effects of illegality on a contract in the UK construction industry depend on the form of the contract and the behaviour of the parties involved. It is usually not possible for enforceable rights to accrue under an illegal contract. Where a contract is illegal in the sense that it is only allowed under a licence, which is not obtained, then usually the contractor is not allowed to recover for illegal work, even if he was not aware of the illegality. Damages may be obtained if a contract has been induced by misrepresentation.
