Comnet, Group 1 make plans to merge

Article Abstract:

Comnet Corp. of Lanham, MD, announced plans to combine with Group 1 Software Inc., a provider of direct marketing and mailing software that was created within Comnet in 1981. The union will extinguish any market confusion because clients do not recognize Comnet or associate it with Group 1. Both companies' board of directors have reportedly approved the merge. Shareholders are anticipated to also give theirs at the shareholder's meetings of both firms in fall 1998. Comnet presently holds 81.2% stake in Group 1. If the merger goes through, Comnent common stock will be issued to Group 1's minority shareholders in exchange for their Group 1 common stock.
