Corporate governance in banking - a case for tighter regulation?

Article Abstract:

Corporate Governance is an important topic in the 90s because of the number of banking failures. Accountability is a main issue for most corporate boards. Corporate performance can be improved by: effective leadership; an effective corporate policy; an innovative and relevant strategy; efficient systems and commitment to long-term goals. Effective governance is affected by the structure of the board of directors, the regulatory framework and social responsibility. The main issues facing governance include: deregulation; capital shortage and internationalisation.

The cost of independent chairmen

Article Abstract:

The Cadbury Committee on Corporate Governance recommends that company chairmen not be allowed to simultaneously hold the position of CEO to prevent abuses of corporate power. However, separating the two roles could lead to costs in terms of insufficient understanding and additional layers to the highest level of an organization. Independent chairmen will thus be particularly valuable in organizations where the CEO is pursuing a risky strategy or where strategies have become stagnant.

The (limited) role of the board

Article Abstract:

Boards of directors can exercise more important duties in executive management. Boards should be active in evaluating the performance of current management, help develop business- and corporate-level strategies, provide specialist advice and review the decision-making process. These can be realized through the assessment of corporate-level added value and specific reports.
