Refuting the myths about mutual holding companies
Article Abstract:
There are flaws in the argument that the reorganization of insurance companies into a mutual holding corporate structure will hurt policyholders. Contrary to claims that the mutual holding company transaction will bring no benefits, mutual insurers under this structure will be able to obtain stock capital and enhance their competitiveness. Policyholders will not face financial risk or lose economic value in a mutual holding company transaction. Neither will their membership interest in the mutual holding company decline during the public offering of stock.

Article Abstract:
The insurance industry has always been respected and, with new regulations and services, will continue to be a reliable industry. The industry now has guaranty funds in all 50 states and managed healthcare programs are helping to reduce healthcare costs. In addition, new regulatory committees are watching over the industry to avert the crises that have marred the industry in the past. Improved quality and service should be the goals of the industry.

A discussion of the process an insurance company undergoes in converting from a mutual institution to a stock institution is presented. A discussion of state legislation covering such a conversion is presented, with New York's law used as the model for discussion. Tips for writing a demutualization plan and a brief description of the public hearing process are also presented.
