This article discusses the issue of stock used as collateral in a secured loan. The authors believe that the relevant law allows the pledgees to sell the stock in foreclosure, provided they do not possess inside information.

Article Abstract:
The Securities and Exchange Commission (SEC) has finalized amendments to Rules 144 and 145 and proposed amendments to Rule 144 and Regulation S. The final rule changes will reduce the holding periods for resale of restricted and affiliate-held securities and securities acquired pursuant to a merger or other reorganization. The proposed SEC rule changes would narrow the definition of affiliates under Rule 144, increase the Form 144 de minimis threshold, eliminate the Rule 144(f) and (g) manner-of-sale requirements, and amend Regulation S.
