The erosion of the law of controlling shareholders
Article Abstract:
Issues involving the monitoring of controlling-shareholder transactions are outlined. Issues include the relevant choice of a monitor, the development of the law in the Delaware courts governing minority and majority controlling-shareholder transactions, problems with the current law, and a proposed methodology for monitoring controlling-shareholder transactions.

Issues involving the 'contemporaneous trader requirement' in the context of plaintiffs' claims for damages for insider trading are reviewed. Issues include flaws in the requirement since its creation, the relationship between cause and harm, and possible limitations on eligibility to bring a cause of action and on the scope of liability for damages.
