Boards adopt governance guidelines; General Motors took the lead in 1994; now, spurred by investors' pressure, every company seems to be doing it

A trend for US public companies to adopt formal, written corporate governance guidelines has emerged, and it reflects both investor pressure to improve board functioning and increased sensitivity to corporate governance. Several high-profile institutional investors have issued statements detailing the governance policies their investees should follow. There are endorsements of diversity in board membership and of director stock ownership as a means of aligning the interests of board and shareholders.
