Issues are discussed concerning the changes made in the revised Uniform Commercial Code Article 9 governing the selection of the state whose law will determine perfection and priority issues regarding a secured interest.The potential differences in statute and case law between states is one of the matters making this issue important.

Article Abstract:

Some of the changes to the law governing secured transactions to be made by revised Article 9 of the Uniform Commercial Code are discussed. The need for debtors to authorize financing statements and the law's application to electronic financing statements are included.

A revised Art. 9

Article Abstract:

The revised Uniform Commercial Code Article 9 resolves a split in case law over whether the prolonged retention of collateral by a secured party qualifies as an election under UCC 9-505(2) to discharge the debt in exchange for the collateral., referred to in commercial law parlance as strict foreclosure. Strict foreclosure cannot occur if the type of collateral cannot be possessed, thus the availability of this solution depends on the nature of the collateral involved in the transaction.
