Developments in securities law disclosure

Article Abstract:

Securities law disclosure is a constantly evolving area, particularly regarding mergers and other business developments. Despite 1994 developments in formal disclosure procedures, the most important developments have been in post-Basic cases involving informal disclosure. Case developments during 1994 involved disclosure duties regarding general business risks, the bespeaks caution doctrine, the update duty, government investigations of management misconduct, greenmail negotiations, stock accumulation programs, and environmental liability.

Securities litigation reform: the first year's experience

Article Abstract:

Analysis of class action securities fraud cases in 1996 following the passage of the Private Securities Litigation Reform Act of 1995 indicates that the success or failure of the act is yet to be determined. Findings showed little change in litigation rates, with only 26% shifting from federal to state courts. Results of the analysis and its findings are presented.
