Fair value of dissenters' shares debated
Article Abstract:
Shareholders dissenting from a majority actions can sell their shares back to the corporation at fair value. The key issue is the determination of fair value. State laws differ in their treatment of this issue and in the factoring in of appreciation in value from the corporate action. Higher value can also be assigned to a block of stock large enough to give the holder control of the corporation. The marketability of a minority interest and investment liquidity are other factors which affect fair market value.

New laws meet smaller shareholders' expectations. State legislators broaden the rights of minority stock owners in closely held corporations
Article Abstract:
State legislators' broadening of the rights of minority shareholders in close corporations are discussed. Minnesota, North Dakota and Illinois have enacted laws recognizing minority shareholders' rights to their reasonable expectations, and Oregon has a task force investigating this concept. Lawyers should create or update written agreements confirming or confining these expectations, and investigate new statutory limitations on these remedies.

Article Abstract:
The possible use of the Anticybersquatting Consumer Protection Act (ACPA) to deny US court jurisdiction to a foreign trademark owner is discussed. Sallen v. Corinthians Licenciamentos LTDA, in which the World Intellectual Property Organization dismissed an ACPA claim, is discussed as an example.
