Internet may offer access to U.S. cash; cautious foreign entrepreneurs trying to avoid an I.P.O. still can gain entry into the U.S. market

Foreign entrepreneurs leery of making an initial public offering but still wishing to exploit the US capital market's stability and growth can structure their corporation in various ways. These include a reverse merger, viewed skeptically by the SEC but still furnishing rapid access to the US capital market, selling securities over the Internet, and Internet DPOs or offerings of securities directly to the public by the issuer company. Apparently any computer owner can post an Internet offering, but a DPO provides less liquidity than the traditional route.

U.S. v. Middleton and Shurgard Storage Centers, Inc. v. Safeguard Self Storage, Inc. are discussed, rulings granting civil and criminal remedies under the Computer Fraud and Abuse Act. Prosecutors and civil plaintiffs will be glad to add this law to other fraud laws under Title 18.
