Less shock in stock-for-stock; hot financial techniques help parties cope with price unknowns in equity mergers
Article Abstract:
Financial techniques to cope with the price risks of equity mergers, the "fixed exchange ratio" merger and the "fixed value" merger, are discussed. Parties to a fixed exchange deal can negotiate a either a minimum "floor" value or a maximum "cap" value, and a floor and a cap together make what is known as a "collar." All of these terms are defined.

Employees may own key patents; use of employment agreements is the only way companies can control workers' inventions
Article Abstract:
The importance of properly drafting labor contracts so that employers can retain the patent rights in the inventions of their employees is discussed. Even those employees not involved in inventive technical tasks should have to sign such contracts, and case law is discussed.
