Sorting out Mr. Maxwell's tangled webs
Article Abstract:
Two of the late Robert Maxwell's companies, Maxwell Communication Corp and Headington Investments Ltd, went through bankruptcy proceedings under British and US law, respectively. The US bankruptcy court gave its examiner the authority to coordinate and harmonize the US and British proceedings. Whether British or American law governed the legal status and claims of creditors of the two corporations was paramount. The judges decided to adhere to the principle of comity and approved a protocol for the joint operation of the two bankruptcy plans.

Antitrust rules regulate E.U. joint venture forms; concentrative, cooperative and structural cooperative joint ventures have key distinctions
Article Abstract:
Companies doing business in the European Union should be cognizant of the difference between a concentrative, cooperative and structural cooperative joint venture because these differences can affect levels of substantive control and procedures. This difference is detailed in the European Community-Merger Control Regulation (MCR). The MCR only applies to joint ventures of a communitywide scope. Traits of the various kinds of joint ventures are summarized.
