Subchapter S reform: the Small Business Job Protection Act of 1996
Article Abstract:
Many tax laws governing S corporations were revised under the Small Business Job Protection Act of 1996 to ensure that S status remains a viable option for small businesses. These changes increase the number of shareholders allowed, expand access to capital markets, allow S corporations to hold subsidiaries, and eliminate many procedural traps. S corporations offer businesses limited liability and single tier taxation, and these steps to simplify S taxation and expand eligibility will ensure that S status will continue to be attractive to many small businesses.

Creating a banker-free zone: the new proposed anti-Morris trust regulations
Article Abstract:
The IRS revised proposed anti-Morris trust regulations, released at the end of 2000, are outlined. Topics include safe harbors, transactions for which no safe harbor category applies, and the probability of acquisition in connection with a spin-off transaction. A short history of anti-Morris trust law is provided.

Internal Revenue Service issues proposed ESBT regulations
Article Abstract:
Proposed IRS rules governing the qualification and treatment of electing small business trusts are discussed. Topics include treatment of an ESBT as a permitted S corporation shareholder and taxation of ESBTs. The proposed rules were published in December 2000.
