The announcement of merger agreements are often result in additional unsolicitied bids by other companies. What is known as 'deal jumping' increased in the late 1990s in the US, resulting in a rise of hostile takeovers. Examples given include the MCI Communications Corp. takeover by WorldCom Inc., the Northrop-Grumman-Martin Marietta battle, and QVC's bid for Paramount.

Article Abstract:
Merger and acquisition documents should be drafted so as to avoid disruption from thrid party bids. They should also drafted to provide regulation of the post-merger corporation governance. Options for use in drafting these documents are presented.
