A team production model of corporate governance

Article Abstract:

After Enron debacle, government regulators, investor groups and private exchanges got together to lay down rules for corporate governance which controlled the powers of the board. The present form of corporate governance proposals set forth by NYSE and Securities and Exchange Commission fail to fulfill the main objective of the board, i.e., creation of wealth by taking risks and possessing strategic information. To counter this drawback a team production model is presented to link the objectives of wealth creation with investor protection, wherein insiders like managers and workers can bring the firm's know-how to the table.
