Computer Associates in $3.91 billion deal; in industry's biggest pact, Sterling Software to add to mainframe business

Number three software vendor Islandia, NY-based Computer Associates International Inc. is purchasing Dallas, TX-based Sterling Software Inc. for $3.91 billion in stock. Both companies make computer-room software. Analysts believe the purchase price undervalues Sterling and will help Computer Associates pay-down debt it incurred in its 1999 purchase of Platinum Technology International Inc.

SoftKey sweetens bid for Learning Co.; step could be fatal to Broderbund pact

Article Abstract:

SoftKey Internal Inc increased its hostile bid for rival Learning Co by announcing a straight cash for stock offer to acquire Learning Co, a move which should clinch the deal in favor of SoftKey. SoftKey has been involved in a contentious bidding war with rival Broderbund Software Inc over Learning Co. Learning Co is a successful children's educational software developer. The terms of the new offer stipulate that SoftKey would pay $559 million, or $65 per share for 8.6 million, or 92%, or Learning Co's stock. The remaining 700,000 shares are tied to management stock options, which would be exchanged for about 2.1667 share of SoftKey stock worth about $65. The entire package would total about $606 million. Learning Co officials conceded that the new bid would likely be the clincher unless Broderbund can increase its own all-stock offer.

Computer Associates agrees to acquire Computer Management for $435 million

Article Abstract:

Computer Associates Int'l, based in Islandia, NY, will acquire the Jacksonville, FL, computer consulting firm, Computer Management Sciences Inc. in a stock deal whereby both companies gain advantages. Computer Associates gains a significant number of billable consultants for its global expansion. The $435 million deal is the first of what is expected to be a series of small company acquisitions by Computer Associates.
