Article Abstract:

An explanation based on the risk of failure is presented for forced conversions of convertible bonds which are put off. The explanation stipulates that businesses, without underwriters, put off forced conversions to avoid situations where conversion does not work and the firm suffers the costs of financial distress. Underwriters can mediate the costs of financial distress, but underwriters usually insist on a delay because they do not like the risks associated with price declines and the risks associated with price manipulation or changing market conditions.
