A tale of two buyouts

Article Abstract:

The management buyouts of design services consultancy Wolff Olins and engineering consultancy Smith System Engineering were very different in terms of structure, finance and management. Both buyouts were finalized in Jun 1997 and used consultancy services provided by Livingstone Guarantee. Unlike the Smith System buyout, the Wolff Olins deal involved the continued management input of chief shareholders. It was more complicated in structure and took more time to complete.

Leading firms feel urge to merge as Swiss buyouts prosper

Article Abstract:

The proposed merger between SBC and UBS of Switzerland towards the end of 1996, emphasized the requirement for Swiss corporations to grow, both beyond the domestic market and beyond Europe. There has also been six takeovers of foreign companies by Swiss firms since the beginning of 1997, and the increased M&A activity is due to the coincidence that the main sectors undergoing consolidation are also those with a strong Swiss presence.
