Barriers to effective corporate governance by institutional investors: implications for theory and practice

Article Abstract:

There is growing debate over the role of institutional investors in developing effective corporate governance, but several barriers exist which weaken the influence of institutional investors. Barriers include the regulatory system, which restricts institutional investors' authority of managers; information processing barriers which make institutional investors less able to have an active role in monitoring all firms in their portfolio; and business relationships between institutional investors and the companies in which they invest.

The performance implications of ownership-driven governance reform

Article Abstract:

The performance impact of recent changes in foreign shareholdings and boardroom reforms in Japan are explored. There exists a positive association between participation of outside directors in strategic decision-making and the performance of the firm.

Hiding behind the flag? Prospects for change in German corporate governance

Research is presented concerning the attitudes of 149 company Chairmen from publicly listed German companies to the German system of corporate governance. Their views on high profile mergers which involved German companies are discussed.
