Grinding out a deal at Caffe Nero

Article Abstract:

Paladin Associates has been responsible for arranging a 4 million pounds sterling management buy-in at Caffe Nero, which owns Italian-style coffee bars in London, England. The deal, supported by BancBoston Capital, will allow Caffe Nero to open between six and eight new outlets each year, both in London and in other large cities around the UK. BancBoston Capital already has experience of investing in a coffee bar chain, and this proved valuable when dealing with the problems associated with transferring the leases on the cafes.

PizzaExpress franchisees reacted to the news that PizzaExpress wished to introduce less favourable terms into their franchise agreements by joining together and instructing Field Fisher Waterhouse to examine possible solutions. The franchisees were organised into a quasi-corporate body, and undertook lengthy negotiations with PizzaExpress. It was eventually possible to engineer a syndicated sell-back to PizzaExpress, thus bringing a higher sale price than franchisees would have been able to obtain individually.

Engineering bigger deals. (Rubicon's reverse takeover of Calder)

Article Abstract:

Rubicon Group, a manfuacturer of precision components and electronic assemblies, acquired Calder Group, a castings, magnets, lead products and aluminium group. The acquisition was a reverse takeover which involved the relisting of existing equity and the listing of new equity.
