Looking after the portfolio

Article Abstract:

Monitoring a portfolio has become increasingly important for venture capital firms, but there are very different approaches which can be taken towards the monitoring of unlisted investments. One approach is to set up a dedicated department which is responsible for the whole portfolio: this is based on the argument that different skills and needed for monitoring and investing. The other approach is for the deal leader to retain responsibility and report back to his colleagues: the theory behind this is that the deal leader will build up a strong link with the management.

Hunting for good deals in the buyout jungle

Article Abstract:

The United Kingdom buyout market grew 44% in the first six months of 1996 compared to 1995 although in the region around Southampton, England, the market is less active. The buyout market is changing from one where management have a large financial investment in the company to one where outside investors control the complete deal. Management is consulted only after the deal has been closed. Due to the management teams' lack of involvement in negotiations and the finalised deal the buyout may not be profitable or the managers may decided to offer a counter bid.

Due diligence in a competitive market

Article Abstract:

The UK management buyout (MBO) market is becoming increasingly competitive and this is having a significant impact on the due diligence process. Financial buyers who are unwilling to take part in the auctions which are now widespread in the buyout market are focusing their research and due diligence efforts on less competitive deals. Those continuing to play in the auction market are more aware that due diligence must be focused, cost-effective and well planned.
