The middle game: Midland's merger

Article Abstract:

Lloyd's of London and the Hongkong and Shanghai Banking Corp are competing to acquire Midland. Both have ample assets, and both bids have attractive and unattractive features. The Monopolies and Mergers Commission could rule against Lloyd's offer. The two bids are low, and others could enter the bidding. Midland has until July 1992 to decide.

Lloyds Bank can win a bid for Midland Bank with a promise of beneficial cost-cutting measures. HSBC Holdings is simply looking to expand its global market. Lloyds Bank plans to make a formal bid if it is given equal access to information about Midland Bank, and its bid is considered equally.

Sweet defeat: Lloyd's Bank

Article Abstract:

Lloyds terminated negotiations for Midland when the share price was raised to 480p by rival bidder HSBC Holdings. Lloyds also feared the Monopolies and Mergers Commission would have rejected the merger. Lloyds's plans for expansion are now limited.
