Venture capitalists: beware the Commission

Article Abstract:

Any deals which fall within the remit of the EC Merger Regulation (EMR) must be referred to the Merger Task Force within specified time limits. This can apply to venture capital deals, especially in cases where two venture capital institutions are part of large groups present in a number of member states or where two venture capital institutions which are part of large groups invest in a non-UK target. Venture capital institutions should give careful consideration to the likely impact of merger controls on any planned transaction.

A risky business

Article Abstract:

Risks can be involved in buying a casino in the UK due to the particular regulatory regime for casinos. New owners of casinos need to be judged fit by the authorities or the casino can be closed after the acquisition has been made. Buyers can acquire a small stake and thus gain greater certainty as to whether the acquisition can proceed. The Gaming Board may delay in issuing a certificate of continuance for some time, as has happened with the acquisition of casinos by Ladbroke which acquired City Clubs in 1994.

Opening up the Nordic region

Article Abstract:

Cross border activity has increased in the Nordic countries since local legislation has been relaxed. $11.1 billion was invested in Swedish companies during 1995. The main mergers and acquisitions regulations are contained in the Recommendation Concerning Public Offers for Share Acquisitions. There are few restrictions in Denmark on the purchase of Danish companies for foreign investors, and foreigners can invest freely in Finnish shares. Norway also now encourages foreign investment.
