Banks return in force to senior debt

Article Abstract:

Banks are becoming more involved in MBOs in the UK, and this has meant making senior debt more attractive. Paribas, Fuji, and the Industrial Bank of Japan are among foreign banks which have returned to the UK market, while Bank of Scotland, Midland Bank, and NatWest have consistently provided MBO support. Fees and lending margins have fallen as competition has increased. Maturities have also become longer, with ten year maturities in exceptional cases and five years to seven years being more common.

Private equity investment has benefited from low inflation, low rates of interest and growth of gross national product (GNP) in the UK. Some analysts see valuations as likely to undergo an adjustment, while others see valuations as likely to remain stable. Management buy-ins have become more common and risk assessment has become more sophisticated, both factors seen as evidence that the market has gained maturity. Larger deals have also become more common.

Article Abstract:

UK management buy-outs increased in value terms in 1995, with buy-outs and buy-ins up by 36% at some 5 billion pounds sterling, according to the University of Nottingham's Centre for Management Buy-out Research. The south east of England is the most active UK region involved. Privatizations have helped boost buy-outs, with British Rail and British Coal privatizations especially important. Buy-ins have increased more than buy-outs in the UK in 1995.
