Careful reading of stock prospectus pays off

Article Abstract:

Managers in charge of making corporate investments can learn about potential stocks through a careful reading of the issuing company's prospectus. The prospectus contains the financial information that every company is required to file with the SEC prior to going public. The terms of the offering are described on the cover page; this section includes the number and price of the shares being offered, who is selling the stock, and any compensation received by the party conducting the deal; a high compensation price may indicate an unattractive or risky investment. The risk factors section, as well as accounting for normal business risks, may also identify potential problems that could seriously damage the company's future operations. Other sections of the prospectus provide information on the use of proceeds, capitalization, management experience, and the legal and voting rights that are attached to the stock.

Shopping for a treasury consultant

Article Abstract:

Treasury consultants can help corporate treasury departments with projects such as design and implementation of multi-national cash and data management systems, staff seminars, and part-time treasurer functions. The treasury consultant may be engaged on a continuing basis under a retainer fee or on a project-by-project basis. Most effective use of treasury consultants is made when the individual has an opportunity to begin at early planning stages rather than in crisis conditions. Three types of treasury consultants active in today's market are: (1) independent individual consultants, (2) independent institutional consultants, and (3) sales consultants. The benefits of using the various types of consultants are described, as well as criteria for evaluating proposals.
