Taking guard

Article Abstract:

Rolfe and Nolan stockholders are being offered a deal by SunGard Data Systems which will pay for stocks at a premium of 46%, though in SunGard paper rather than in cash. Currency risks and dealing costs reduce the benefits of the offer for private investors, but SunGard is attractive stock, having seen a strong price rise. Merrill Lynch may offer UK investors a cheap stock dealing service. There will be some delay, and an alternative offer could be made, with Misys as the only likely candidate.

Yearly insider sales have already reached 1,002,502 shares. Two insiders sold 372,392 shares at $31.50-$33 each from Aug. 5 to Aug. 16, 1996.
