The flow-through factor: investors interested in the high-risk, high-reward sector of natural resources may find some appeal in a flow-through share arrangement

Article Abstract:

Flow-through share arrangements offer twin opportunities to investors, namely, the chance to invest in high-risk, high-reward natural resource exploration and development, and the ability to reduce such risk through a lower after-tax cost. Flow-through shares refer to a share issued by a principal business corporation (PBC) to an investor according to a written agreement wherein the PBC agrees to incur exploration and development expenses within 24 months and to 'renounce' these to the investor. They are a good investment medium as long as shareholders are able to recover their investments and realize a profit.

Southern Union Co

Article Abstract:

The Galveston, TX City Council consented to Southern Union Co's 4.7% rate hike proposal for its gas subsidiary. The approval will translate to a $372,000 revenue increase for the natural gas distributor. Southern Union will also be allowed to impose a cost-of-service adjustment scheme. Dir Adam Lindemann purchased 40,000 shares at 14, increasing his stake to 401,000. The holdings of Pres and CEO George L. Lindemann and his group are pegged at 35.4% after they purchased 120,000 shares at 14 last Jul 7, 1992. The company has no dividends on its 5.3 million shares.
