Troubled brewer 'nice problem' for Whitbread

Article Abstract:

Whitbread may seek to acquire some or part of Carlsberg-Tetley following the refusal of the Office of Fair Trading to allow Bass to acquire Carlsberg-Tetley. Bass holds 23% of the United Kingdom market, and Carlsberg-Tetley holds 14%, while Whitbread has 16%. Carlsberg-Tetley's market share could drop after two contracts are renegotiated, one with Allied Domecq and the other with Scottish and Newcastle. Whitbread could prevent a ban by the Office of Fair Trading by only buying part of Carlsberg-Tetley.

Scottish Courage was created from the merger of Courage and Scottish and Newcastle in 1996. Further concentration in the UK brewing industry could result from the acquisition of Carlsberg-Tetley by Bass. This has to be approved by the UK Monopolies and Mergers Commission (MMC). Bass could be forced to sell as many as 2,000 pubs which could mean the acquisition would be less attractive. Meanwhile, Whitbread is performing well, so domination of the market by two major brewers appearsless likely.

Warning over Bass plans

Article Abstract:

Bass is seeking to acquire half of Carlsberg-Tetley in a move that would give Bass 40 % of the UK brewing market. Small breweries would be affected if the bigger brewers seek to increase their market share by reducing prices. There is overcapacity in the UK brewing industry and prices are not likely to rise. The deal has to be approved by the UK Office of Fair Trading (OFT) and Bass would probably have to sell some assets if the deal does receive approval.
