Stamps.com faces lawsuit over IPO

Article Abstract:

Stamps.com, based in Santa Monica, CA, is facing a class-action lawsuit filed in late May 2001 for alleged violations of the Securities Act of 1933 and the Securities Exchange Act of 1934. The suit claims that the online stamps company and its officers and directors issued and sold Stamps.com common stock in an initial public offering and a secondary offering without disclosing to investors that at least one of the lead underwriters had solicited and received excessive and undisclosed commissions from certain investors.
