External mechanisms of corporate management and their specific features in Russia

Article Abstract:

This article examines methods of corporate governance in post-Soviet Russia, focusing on the role of management in promoting the interests of shareholders through corporate management, which is the method used by external financial investors to guarantee a return and protect the interests of other non-financial investors such as workers and local authorities. The author examines corporate management in transition economies, the improvement of Russian legislation regarding corporate management since the late 1990s, the corporate securities markets and its participants, bankruptcy procedures, and the market for corporate takeovers.
