Applying the business judgment rule to the franchise relationship

Article Abstract:

The author explains how incorporation of the business judgment rule into the franchise relationship would benefit both franchisors and franchisees. The duties liabilities attached to the business judgment rule are more uniformly defined and reliable than those attached to the implied covenant of good faith and fair dealing.
