Contracts enhance owner discretion; employment agreements help companies avoid suits, protect IP and delineate stock plans

Article Abstract:

Labor contracts specifying the terms of employment can avert liability. Contracts should be in writing and can be more formal documents or in the form of an offer letter stating that employment can be terminated any time at the will of either party. This will overcome oral assurances to the contrary. The main advantage of having the labor contract in writing is preserving the at-will nature of the employment relationship.

Price-fixing ruling to discourage many suits

Article Abstract:

The US Supreme Court ruled in State Oil Co. v. Kahn that an action charging maximum price fixing could proceed under the 'rule of reason' standard. The case represents a reversal of the precedent that suppliers imposing price ceilings on retailers is a per se antitrust law violation. The ruling will discourage suits because arguing rule of reason cases is expensive and treble damages are not available.

Bankruptcy companies

Article Abstract:

The possibility of cigarette companies deciding that Chapter 11 reorganization is the best way to control current and future tobacco liability is discussed. The largest number of deserving tort creditors may have a short time in court and receive some compensation from Chapter 11 reorganization.
