Article Abstract:

Directors and officers of publically traded corporations are limited in their ability to buy and sell their company's stock. Registration statements of stock ownership are required for some scenarios involving company and affiliate stock under law and some contractual guidelines. Most companies have established 'black out' periods that keep directors and officers from selling and acquiring stock at opportune times, in order to avoid possible insider trading charges.
