Institutional investors, now in control of more than half the share of U.S. corporations, demand more accountability

Article Abstract:

The main ongoing change in US share ownership has been progressive institutionalization. The 1990s mark the first time institutional ownership accounts for more than half the shares of American corporations.By contrast, institutional investors owned less than 10% of American shares 40 years ago. A demand for greater accountability has been one of this ownership change's key consequences. The SEC is aware of this change and it does not seem to be losing momentum.

Future governance and activism trends; six predictions include growing influence of technology, focus on social issues, better communication and globalization

Article Abstract:

Forecasts regarding corporate governance, globalization, and socially responsible investments are given. Increasing demands the Internet will place on corporate management, the likelihood of proposals by shareholder activists on various social issues, and the greater acceptability of socially responsible investing for transforming US corporations are all discussed.

The 1998 proxy season was an active one, with corporate boards appearing more willing to listen to the concerns and complaints of company shareholders

Article Abstract:

Shareholders were very active during the 11998 proxy season, fighting individual corporate directors, boards, perceived excessive executive salaries, and anti-takeover defenses. Corporations have noticed increasing institutional share ownership during the 1990s, and this has increased management willingness to listen to the complaints of shareholders.
