Limited liability companies (LLCs) combine corporate-style limited liability with partnership tax advantages. LLCs' eligibility to be taxed as partnerships generally depends on the absence of factors such as continuity of life, free transferability, or centralized management. Gifts of limited partnership interests are discounted differently from gifts of LLC interests.
