Productive boards face periodic self-evaluation; corporate secretaries often are called upon to assist their boards in formulating effective self-assessment strategies

Article Abstract:

Experts on corporate boards increasingly consider regular self-evaluation to be a crucial sign of the best boards, though only 25% and 26% of the boards responding to two recent surveys perform regular self-assessments. Many more have created or are creating written guidelines on board practices, a similar process. Good assessments examine whether the board has defined, prioritized, and scheduled issues it will monitor, and adequately garners information to support its decisions.

Good governance takes varied forms; one major issue to consider is whether a committee or the entire board should play a role

Article Abstract:

Corporate secretaries are often called on to help boards review corporate governance structures. A review of corporate governance can be achieved either through the involvement of the entire board or the creation of a committee. Proxy statements, publications in the field, and other corporate secretaries can be important sources of information in evaluating governance issues.
