The Corporation's Vade Mecum of Constitutional Rights

Article Abstract:

Argument as to what government control should be exercised over corporations has centered on two views. These are - the concession theory of the corporation getting its existence from the state - and the inherence theory that the corporation's existence is based on private agreement. In this context, the Supreme Court decisions on the constitutional rights of corporations for the past one hundred eighty years are reviewed. It appears that the Court has failed to develop a general rationale but instead has decided these cases on an ad hoc basis.

The Northwest Ordinance as a constitutional document

Article Abstract:

The Northwest Ordinance should be regarded as an authoritative constitutional document, with implications that deserve consideration by judges and scholars. The Ordinance expresses a number of principles that influenced the American political tradition and are relevant to contemporary issues such as government social programs and international trade. The principles incorporated in the Ordinance include expansionism, imperialism, commercialism, utopianism, development, and risk.

Development agreements: contracting for vested rights

Article Abstract:

Development agreements, contracts in which municipalities freeze existing zoning regulations in return for guarantees of public benefits from owners or real estate developers, are discussed. The agreements are readily enforceable and attractive vehicles in early and late vesting states.
