Venture capital opportunities and Mexican telecommunications after the passage of NAFTA and the Ley de Inversion Extranjera

Article Abstract:

Changes in the entrepreneurial climate in Mexico as a result of the North American Free Trade Agreement (NAFTA) are expected to promote US venture capital investment in small telecommunications businesses in Mexico. NAFTA and the Mexican Foreign Investment Law will improve the investment environment and facilitate technology transfers. The focus on venture capital and start-up businesses is particularly important because the US experience demonstrates that small and medium businesses are the key to economic growth.

Delaware's new mandate in class action settlements: expanding the scope and intensity of settlement review

Article Abstract:

Delaware courts have expanded the judiciary's role in analyzing proposed settlements of shareholders' class actions. The Chancery Court's ruling in Lewis v. Hirsch held an adequate record showing proper representation of class interests to be essential for proper review of the proposed settlement. The Supreme Court's ruling in Prezant v. De Angelis held settlements require adequacy of representation and proper class certification, even if a temporary settlement class exists.
