The impact of the 1992 Small Business Initiatives

Article Abstract:

The impact of the SEC's 1992 Small Business Initiatives (SBIs), was muted by their hasty enactment, a lack of coordination with states' securities laws, and opposition to the test the waters provision. The SBIs introduced the integrated disclosure system for registered offerings and changed rules governing exempt Regulation A and D offerings. SEC action was needed but the agency was reluctant to make stronger changes in the face of states' opposition. However, states' resistance to the SBIs has lessened and coordination is increasing.

Small is not beautiful: the case against special regulatory treatment of small firms

Article Abstract:

Small businesses should not be given special regulatory treatment. Small businesses contribute to more pollution, employment discrimination, occupational injuries and health-care inadequacies than big firms. Journalists and politicians should question the myth that small is less socially evil than big. Officials should use discretion authorized under the Small Business Regulatory Enforcement Fairness Act to correct small business abuse.

Securities regulation: information initiative on the Internet

Article Abstract:

The US Northern District Court of California local court Rule 23-2 incorporated Internet posting into its filing system for private securities suits. The rule demonstrates the pivotal role information holds in supporting regulatory programs under the Private Securities Litigation Reform Act of 1995. Although the rule proved successful, long-term examination of the Act is needed to understand the Act's overall effectiveness.
