Battle brewing for Philip

Article Abstract:

Gentra Inc.'s former CEO, James Walker, is leading a proxy fight to replace Philip Services Corp.'s CEO and board of directors. Walker is hoping that Philip's shareholders may be able to vote on a new slate of directors at the firm's June 25, 1998, annual meeting in Toronto. Walker has prepared for the proxy battle by approaching several proxy solicitation companies such as Georgeson & Co. of New York and informally approaching many of Philip's Canadian institutional shareholders with his proxy fight proposal. However, Walker's credibility with US investors who own as much as 80% of Philips stock may be a problem. Philips revealed losses from its copper operations due to unauthorized trading by a small number of employees.
