Nortel Networks buys Sonoma Systems

Article Abstract:

Nortel Networks Corp. (Brampton, Ont.), the communications equipment giant, is buying Sonoma Systems Inc. (Marina del Rey, CA) for up to US$540-million in stock to build bigger and faster entry points to the Web. The new technology will allow big phone companies to squeeze more capacity from their networks and enable large corporate customers to more easily used advanced services such as videoconferencing. Nortel will pay $480-million of stock at closing of the deal with an additional $60-million in stock contingent on Sonoma meeting business targets in the first year after the deal is completed. Sonoma is Nortel's 12th acquisition in the past 12 months. Based on a Nortel share price of $78.13, the deal would result in Nortel issuing about 6.9 million shares. The transaction, which requires approvals by regulatory bodies and Sonoma shareholders, will be completed in the fourth quarter of 2000.

Nortel to buy Architel Systems

Article Abstract:

Brampton, Ont.-based Nortel Networks Corp. will acquire Toronto, Ont.-based Architel Systems Corp. for $395 million. Nortel Networks intends to market Architel's telecommunications software toward the e-commerce sector.
