Mezzanine financing and the intercreditor agreement: can we just get along?

Article Abstract:

The conditions under which a mezzanine loan could be appropriate are considered. Attention is also given to issues related to negotiating a Subordination Agreement. It may be advisable for the borrower to supply its potential Senior Lender with a form of subordination agreement to which the Junior Lender has agreed previously.

Commercial mortgage loan securitizations and bond insurance

Article Abstract:

It is possible to attract investors to offerings of commercial mortgage-backed securities through a bond insurance company, or 'monoline,' guaranteeing interest and principal payments on one or more of the classes of mortgage-backed securities offered to investors. Issues that arise in monoline transactions are discussed.

Flashpoints: why CMBS B-piece investors kick out loans

Article Abstract:

It has become increasingly common for B-piece investors to insist on the removal of certain mortgages from the collateral pool before securitization. It is argued that this practice can be beneficial for the CMBS market as a whole as long as B-piece investors behave responsibly.
