Transactions dealing with regulatory risk in development land

Article Abstract:

Regulatory change can have an effect on buyers and sellers of development land. Sellers must provide a complete disclosure of all that they know about a property to avoid misrepresentation claims. Buyers that complete a sale should know that they assume all regulatory risk. Contract issues between buyers and sellers are also discussed.

Yield maintenance and defeasance: two distinct paths to commercial mortgage prepayment

Article Abstract:

Issuers of commercial mortgage-backed securities favour mortgage prepayment by defeasance. However, many commercial mortgagors may not do so. It is necessary to look in detail at the particular yield maintenance provision in order to compare the costs of yield maintenance to defeasance.
