Company law review may bring boardroom crackdown
Article Abstract:
The UK Dept of Trade and Industry (DTI) plans to publish an in-depth Green Paper on company law around Easter 1998. This will cover issues addressed by the Hampel report on corporate governance, and could lead to proposals for new legislation. It is not certain whether the DTI plans new legislation in sensitive areas such as obliging companies to obtain shareholder backing for executive remuneration packages. The Hampel committee has decided against a standing committee on corporate governance, believing that this would become too bureaucratic.
