Article Abstract:
An analysis of merger and activity over 30 years reveals that up to 90% of acquisitions have post-merger problems, most commonly because of cultural friction between the new management and the employees of the target company. Corporate strategists say that the people factor should be an important element in the pre-merger due diligence process. A novel analytical method called corporate character profile has been developed by Leicestershire-based Most Consultants. It provides an evaluation of the most effective way of managing post-merger integration and assesses the importance of company values.

Purchasers should consider a target's pension scheme when undertaking acqusitions, as buy a company that participates in a group scheme can prove costly. Purchasers should ensure that the seller is contractually obliged to pay any shortfalls and buyers should be able to set up less favourable pension provisions for transferring employees without fear of lawsuits. Buyer's lawyers must be up to date with employment and pensions law as some schemes have not equalised retirement ages to comply with the EU equal pay article.
