It is widely acknowledged in the UK construction industry that there is a need for a contract-producing body to deliver standard form contracts. However, there are mixed views about whether such a body should operate on a consensus basis. Some observers believe that the consensus approach has the disadvantage of making it hard to reach agreement on drafting issues, thus causing delays in the production of new forms or amendments. Possible alternatives to the consensus approach include involving only those interested in the contracts themselves.

The European Commission's Acquired Rights directive has been in existence since 1977 and has been a regular source of litigation covering the transfer of ownership and employee rights. The directive is aimed at providing employees with protection in the event of a change of employee and has become part of English law as the Transfer of Undertakings (Protection of Employees) Regulations in 1981. The implications of the law for contracting out schemes in the building industry are examined.

Direct payment or bust
Article Abstract:
UK law stipulates firms facing liquidation can not make payments to subcontractors if other creditors are outstanding, which may leave subcontractors facing financial hardship themselves. Legal methods can be used to overcome this financial situation by having the contract drawn up stating direct payment will be made to the subcontractor for fees owed should the employer firm go into liquidation.
